General Terms and Conditions of Sale and Delivery (B2B)

§ 1 Scope of Application & Target Group
(1) These conditions of sale apply exclusively to entrepreneurs, legal entities under public law, or special funds under public law (hereinafter referred to as the "Customer").
(2) No sales are made to consumers (private individuals). By submitting an inquiry, the Customer guarantees that they are acting in the exercise of their commercial or independent professional activity or on behalf of a public institution.
§ 2 Non-Binding Inquiry Process
(1) The presentation of products in the online shop does not constitute a legally binding offer, but rather an invitation to submit an inquiry (invitatio ad offerendum).
(2) The Customer selects products and submits a non-binding price inquiry via the checkout.
(3) Based on this inquiry, Schneestern GmbH & Co. KG will create an individual quote, including specific logistics and shipping costs.
(4) The contract is only concluded upon the written acceptance of this quote by the Customer.
§ 3 Prices, Shipping Costs & Transfer of Risk
(1) All prices are net prices ex works, plus the applicable statutory value-added tax (VAT).
(2) Shipping costs are calculated individually based on volume and weight. Delivery is carried out by a forwarding agent.
(3) The risk of accidental loss or damage is transferred to the Customer as soon as the goods have been handed over to the carrier.
§ 4 Delivery & Unloading
(1) The specific delivery terms and the method of delivery (e.g., parcel service, standard freight forwarder, or heavy goods transport) depend on the requested products and are bindingly determined in the individual quote.
(2) If the quote stipulates delivery by a freight forwarder or heavy transport, the Customer must ensure that the delivery address is accessible for the respective vehicle. Any necessary unloading aids (e.g., forklift) must be provided by the Customer, unless explicitly agreed otherwise in the quote.
§ 5 Duty of Inspection and Objection
Warranty claims by the Customer are subject to the condition that they have properly fulfilled their obligations to inspect and report defects as required by § 377 HGB (German Commercial Code). Obvious defects must be noted immediately upon delivery on the shipping documents.
§ 6 Jurisdiction & Applicable Law
The laws of the Federal Republic of Germany apply, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction for all disputes is Kempten (Allgäu).
